Welcome to Vridhi ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Vridhi website, platform, APIs, and associated services (collectively, the "Services"). • Payment Terms: Fees are billed in advance on a recurring basis (monthly or annually) depending on your selected plan. All payments are non-refundable unless otherwise explicitly stated in our Refund Policy.

• Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle, and you will retain access to the Services until that time.

You retain all ownership rights to the data, contacts, campaigns, and content you submit or process through the Services ("User Content"). By submitting User Content, you grant the Company a worldwide, royalty-free, non-exclusive license to host, process, and use the User Content strictly for the purpose of providing the Services to you. The Company assumes no responsibility or liability for the legality, accuracy, or quality of your User Content.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

The Company's total cumulative liability to you for any claims arising from or relating to these Terms or the Services shall not exceed the amount you paid to the Company for the Services in the three (3) months preceding the event giving rise to the liability.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR YIELD SPECIFIC RESULTS.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including any intellectual property, privacy, or anti-spam laws.

8. Termination

We reserve the right to suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

9. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the Company is established, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in that jurisdiction.
